Wood Composite announces prospectus offering

Edmonton, Alta.-based Wood Composite Technologies Inc. announced it has engaged J.F. Mackie & Company Ltd. to act as lead agent for a prospectus offering on a “best efforts” agency basis, of up to 16,700,000 million common shares of Wood Composite at a price of $0.75 per share resulting in gross proceeds to Wood Composite of a minimum of $5,025,000 up to a maximum of $12,525,000.
The net proceeds from the offering will be used to facilitate planned expansion of the business, additional inventory, enhanced marketing expenditures and general corporate purposes. The offering is expected to close on April 27, 2006.
